Due Diligence & Risk Assessment
For buyers, we review the property, its leases and all relevant documents and information. We distinguish clearly between material risks and less critical issues, explain their impact and provide clear recommendations for the next steps.
For sellers, we help prepare the transaction through vendor due diligence, fact books and a well-structured data room – identifying potential issues early and helping to keep the sales process on track.

Purchase Agreements & Negotiations
Due diligence findings need to translate into the deal. We make sure identified risks are properly addressed in the purchase agreement – whether through specific provisions, warranties, indemnities, closing conditions or the purchase price mechanism. We draft and negotiate the agreement with a clear view of both the legal detail and the commercial objectives of the transaction.

Signing, Closing & Execution
We stay involved until the transaction is fully completed. We prepare and coordinate the signing, keep track of closing conditions and outstanding items and work closely with the notary and other parties involved. After closing, we support the further execution of the agreement through to registration of the change of ownership.

Where needed, our advice goes beyond the transaction itself – from planning and building law issues to easements, access rights and agreements with public authorities or neighbours.

What does your due diligence look like?
We tailor the scope and the steps of our due diligence to the property and the transaction. Rather than simply listing findings, we assess their relevance, explain what they mean for the deal and give clear recommendations for how to address them. And because a report is only useful if people actually read it, we deliver our findings in the format that works best for you.

How much does transaction advice cost?
It depends on the size and complexity of the transaction and the scope of our work. For clearly defined parts of a transaction, we can often agree a fixed fee or budget upfront. Where the scope is less predictable, we charge by the hour. Either way, we agree how fees will work before we start and talk to you if things change.

Do you also advise on share deals?
Yes. We advise on the real estate aspects of share deals, including due diligence and the real estate-related provisions of the transaction documents. Where corporate, tax or other specialist advice is needed, we bring in trusted partner law firms and coordinate the work with them, so you can manage the legal side of the transaction through one team.

Do you also advise on planning and public law matters?
Yes. Where a transaction involves planning, building or other public law issues, we can cover these as part of our advice. This includes, for example, planning and permitting matters, development agreements and other agreements with public authorities. Where highly specialised advice is needed, we bring in trusted experts from our network.
